Oando PLC (“Oando” or the “Company”) announces that the Company’s Board of Directors (the “Board”) has approved a change of the Company’s auditors from Ernst & Young (“EY”) to BDO Professional Services.

By a letter dated and effective July 13, 2022, EY resigned its appointment as the statutory auditor of Oando and its subsidiaries. In its letter, EY confirmed that there are no circumstances connected with the resignation that should be brought to the notice of the members or creditors of the Company.

Accordingly, the Board, following the recommendation of the Audit Committee, and pursuant to Section 401(3) and (6) of the Companies and Allied Matters Act, 2020, has appointed BDO Professional Services, as the Company’s Auditor to fill the vacancy created by the resignation of EY. BDO Professional Services will thereafter be presented to the shareholders for appointment at the Company’s next annual general meeting, in line with the provisions of Section 401 of the Company and Allied Matters Act 2020.

We seize this opportunity to thank EY for their years of meritorious service and valuable contributions to the Company. We look forward to a smooth transition with the BDO Professional Services team to facilitate the continuous delivery of exceptional service to our valued stakeholders
