SEC Says Public Companies To File Directors and External Auditors Reports on ICFR For FY 2023

Further to the Commission’s circular dated 8th November, 2021 on the compliance by Public  Companies with the requirements of Sections 60 to 63 of the Investments and Securities Act 2007 on Internal Control over Financial Reporting, the Commission hereby notifies the reporting entities that the Directors and External Auditors’ reports on Internal Control over Financial Reporting (ICFR) for the 2023 Financial Year should be filed separately with the Commission along with the annual reports and accounts for review on compliance. ICFR reports for subsequent years are required to be included in the annual reports and accounts of the reporting companies.

This directive is in consideration of potential challenges that may be associated with first-time adoption of the Commission’s guidance on the implementation of Sections 60 to 63 of the Investments and Securities Act 2007.
